The breakup fee only applies if he *can't* close the deal for some reason, like his funding falls through or the FTC says "lol no". If he just tries to walk, they can sue him to compel the sale. And in a venue like Delaware, they'd probably win.
And because Musk is a, cough, super genius, he even waived his right of due diligence in the contract. So complaining about the bots *now* is a little disingenuous. Caveat emptor, bitch.
